INNKALLING TIL EKSTRAORDINÆR GENERALFORSAMLING 23.02.06

Vedlagt oversendes innkalling til ekstraordinær generalforsamling i Rocksource ASA som vil bli avholdt 23. februar 2006 kl 16.30 i selskapets lokaler i Stranden 57, 0250 Oslo. Innkallingen vil bli sendt aksjonærene senest i løpet av mandag 23. januar 2006. En engelsk oversettelse av innkallingen vil bli lagt ut på selskapets internettside www.rocksource.com senest mandag 23. januar 2006.

SUMMONS TO EXTRAORDINARY SHAREHOLDERS MEETING 23.02.06

An extraordinary shareholders meeting in Rocksource ASA will be held on 23 February 2006 16:30 at the offices of the company in Stranden 57, 0250 Oslo. The summons to the extraordinary shareholders meeting will be sent to all the shareholders at the latest by Monday 23 January 2006. An English translation of the summons will be made available on the company`s website www.rocksource.com at the latest by Monday 23 January 2006.

On the agenda will be:

1. Opening by the Chairman of the Board of Directors, including registration of the attending shareholders and shares represented by proxy
2. Election of the chairman of the meeting and a person to co-sign the minutes from the meeting together with the chairman
3. Approval of the summons and the agenda
4. Share issue directed towards Dag Dvergsten AS and amendment of the Articles of Association
5. Capital decrease to cover losses not previously covered and transfer to other equity
6. Capital increase by transfer from funds
7. De-merger and amendment of the Articles of Association
8. Incentive scheme
9. Authorisation to the Board of Directors to issue new shares
